Ethics●Point Explanation

Every person, regardless of their position, shares in the responsibility for promoting a positive and ethical environment.  As a publicly-traded company, Maine & Maritimes Corporation (MAM) falls under the jurisdiction of the U.S. Securities and Exchange Commission (SEC) and the Sarbanes-Oxley Act of 2002, requiring compliance with very serious and responsible requirements.  As a part of our values, and as the holding company for Maine Public Service Company and MAM Utility Services Group, we stress and adhere to extremely high standards of conduct.

Creating a sustainable and successful company requires open and honest communications between MAM and its subsidiaries and all employees.  To facilitate our desired, sustainable and value-based business environment, we have installed an internet-based reporting system called Ethicspoint® to foster effective, open, and honest communications.  This system allows employees, vendors, partners, and customers to report serious issues or concerns in a completely anonymous and confidential manner.  As always, employees should first discuss their issue/concern with their Manager or Human Resources.  If this avenue is inappropriate, then Ethicspoint® is available.

Ethicspoint® allows individuals to report at work or at home, depending on the preference of the user.  While we take great pride in the ethics and honesty of our Company and employees, we also know that only an open environment promotes improvements.  Should you observe potentially questionable behavior by an employee, partner, or vendor, we encourage you to communicate observations anonymously through Ethicspoint®.  Your input is essential to ensure that we maintain a compliant, positive, and productive workplace, while meeting the expectations of our shareholders.

By logging in on the Internet at www.ethicspoint.com you can file a report.  On-line instructions are available as to how to use the system; but, be assured this is a user-friendly and confidential system.  If you have any questions or need clarification as to whether an issue rises to the need to be reported, please contact Ethicspoint® at info@ethicspoint.com for instructions.
